1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Fedna Research LLP ("Company," "we," "us," or "our"), a Limited Liability Partnership registered in India. By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Description of Services

Fedna Research LLP provides AI-powered Customer Relationship Management (CRM) solutions and related services. Our services include but are not limited to AI-driven sales automation, lead management, customer engagement tools, and analytics platforms.

3. Eligibility

To use our services, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. By using our services, you represent and warrant that you meet these eligibility requirements. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

4. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your account information is up to date

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or misleading.

5. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any malicious code, viruses, or harmful software
• Engage in spamming, phishing, or other fraudulent activities
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to any part of our services
• Collect or harvest user data without consent
• Use automated systems to access our services without permission
• Reverse engineer, decompile, or disassemble any part of our services

6. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of Fedna Research LLP or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our materials without our prior written consent.

7. Payment Terms

For paid services:

• All fees are quoted in Indian Rupees (INR) unless otherwise specified
• Payment is due as per the agreed billing cycle
• All fees are exclusive of applicable taxes (GST) which will be added as per applicable rates
• We accept payments through authorized payment gateways
• You agree to provide current, complete, and accurate billing information
• Failure to pay may result in suspension or termination of services

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that our services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. We do not warrant any results from the use of our services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FEDNA RESEARCH LLP AND ITS PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

In no event shall our total liability exceed the amount paid by you, if any, for accessing our services during the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Fedna Research LLP and its partners, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in India. The parties agree to submit to the personal jurisdiction of such courts.

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiations within thirty (30) days, either party may initiate arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted in English, and the seat of arbitration shall be in India.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on our services, constitute the entire agreement between you and Fedna Research LLP regarding our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

17. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
